  1. Legal Terms
    1. By submitting an application (Entry) to Intelak you are agreeing to be bound by the following legal terms (“Official Rules”).
    2. The Official Rules also incorporate by reference any additional terms that may be specified at https://intelak.com (the “Competition Website”). THESE OFFICIAL RULES SUPERSEDE ANY OTHER RULES AND GENERAL TERMS & CONDITIONS ON THE WEBSITE (https://intelak.com)  TO THE EXTENT THERE IS ANY CONFLICT OF TERMS.
    3. The “Competition” refers to the programmes that may be stated under https://intelak.com from time to time  including, but not limited to:
      1. Intelak Incubator Programme
      2. Intelak Accelerator Programme
      3. Intelak Idea Lab Programme
  2. Competition Dates
    1. The Competition begins at 12:00 AM Gulf Time Zone (“UTC”) on the “Submission Open” date as stated on the Competition Website. The competition ends at 11:59 PM UTC on the: Submission Close” date as stated on the Competition Website. The duration of the competition, from Submission Open date until Submission Close date shall be referred to as the “Competition Period”. The server hosting the Competition Website is the official time clock for the Competition.
  3. General Information
    1. Participation is subject to (i) compliance with all applicable laws and regulations; (ii) adherence to these Official Rules; and (iii) submission of a passport copy for each member of a team if selected as one of the finalists. Entry will be considered void where prohibited or restricted by applicable law. Multiple entries to the Competition (“Entry”, as further defined below under “How to Enter”) are permitted. Each Entry will be reviewed independently by the Judging Panel (as defined below in the “Judging” section). One individual must be designated as the official entrant for each Entry, and all correspondence during the Competition must be through this individual. You are solely responsible for reviewing applicable laws and regulations in your jurisdiction before participating in the Competition to make sure that your participation is legal. You are responsible for ensuring your Entry does not breach any terms of your current employment (if applicable) or any other obligations, policies, agreements which you are bound on any matter whatsoever. If you are entering on behalf of a partnership, company, institution or other entity, you are responsible for confirming with the applicable partnership, company, institution or other entity that your Entry does not violate any organization documents, agreements, bylaws, or policies set by that partnership, company, institution or other entity, and further, that at all times during your participation in the Competition, you will comply with these Official Rules.Principal Partners  (as defined in the “Liability, Indemnity and Release” section) disclaim any and all liability or responsibility, and you hereby release and indemnify Principal Partners  for disputes arising between you and your employer, partners or other persons or entities related to this Competition. You are solely responsible for all taxes and reporting related to any Prize that you may receive as part of the Competition. You agree that you may be subject to background screenings as needed to assure the Principal Partners’ legal compliance and agree to provide any documents or information requested by the Principal Partners as part of such screening process.
  4. Eligibility
    1. The Competition is open to both (i) all individuals over the age of 18 or the age of majority in said individual’s geographic location, whichever is higher; and (ii) all validly formed legal entities that are not unable to pay its debts, are not insolvent, or have not declared or been declared in bankruptcy. If a legal entity enters the Competition, at least one member of same must be available to participate in the Bootcamp/ Pre-Selection Round (as defined below in the “Competition Objective” section) and the programme (four hours per week plus unlimited hours of open office hours).
    2. Where a legal entity enters the Competition, references to “you” in these Official Rules shall apply to the legal entity, and where a group of individuals enters the Competition references to “you” apply to each person individually and collectively.
    3. Employees and contractors of the Principal Partners and any of their respective parents, affiliates or subsidiaries are ineligible to enter the Competition.
    4. You agree that you will be solely responsible for all equipment, including but not necessarily limited to, a computer and modem necessary to establish a connection to the World Wide Web; access to the World Wide Web and any related telephone, data, hosting or other service fees associated with such access, as well as all costs incurred by you or on your behalf in participating in the Competition. You further agree that you are responsible for all travel costs to Dubai and any other associated costs with participating in the Competition, including the Bootcamp/ Pre-Selection Round and the full programme you have submitted for.
  5. How to Enter
    1. To enter, you must first create a free account on the Competition Website (unless you already have such an account, in which case you need not create another account but can simply enter your username and password). All of the registration information that you provide is collectively referred to as your "Account.” See below and the Competition Website for further details and instructions for entry. During the Competition Period, you must submit your completed proposal (hereinafter your “Entry” and referenced interchangeably as your “proposal,” “submission” and/or “response” on the Competition Website) following the instructions provided on the Competition Website.
    2. By submitting your Entry, you formally accept the Official Rules for this Competition and all decisions of Principal Partners and the Judging Panel (as defined below in the “Judging” section), which are final and binding.
    3. By registering and submitting an Entry, you agree that (a) all required fields are complete and all information in yor Account is correct and accurate; and (b) your registration may be rejected or terminated and all Entries submitted by you may be disqualified if any of the information in your Account is (or Principal Partners in their sole discretion believe it is) incomplete, incorrect or inaccurate.. You agree and acknowledge that you are solely responsible for the security, accuracy and use of your Account.
    4. Each registrant is referred to as an "Entrant" in these Official Rules and as “Entrant” or “Respondent” on the Competition Website.
    5. All Entries must be in English. Entry attachments may be submitted in .step, .stp, .iges, .igs, .stl, .pdf, .xls, .xlsx, .doc, docx, .ppt, or .pptx formats. CAD files in any format also are acceptable. Links to publicly available online videos (e.g., YouTube) can be included in your Entry. There is a maximum limit of 10MB for your complete Entry, including supplemental attachments.
    6. Intelak nor it’s Principal Partners  are responsible for (a) late, lost, stolen, damaged, garbled, incomplete, incorrect or misdirected Entries or other communications, (b) errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices, or transmission lines, or (c) data corruption, theft, destruction, unauthorised access to or alteration of Entry materials, loss or other issues related to data such as quality, access or security. Principal Partners  are not responsible for electronic communications or emails which are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in any email account to receive email messages. Principal Partners  disclaim any liability for damage to any computer system or device resulting from participation in, or accessing or downloading of information in connection with the Competition.
    7. Intelak reserve the right to modify, remove or add data or information to the Competition Website upon notice to Entrants through their Accounts, via email using the email address associated with their Accounts and/or by such other means as Principal Partners  may determine. Principal Partners  reserve the right in their sole discretion to extend or modify the dates of the Competition Period and/or Entry submission dates, and to change the terms of these Official Rules governing any portion thereof taking place after the effective date of any such change upon notice to Entrants, via email using the email address associated with their Accounts and/or by such other means as Principal Partners  may determine. Entrants are urged to consult the Competition Website regularly during the Competition.
    8. Any information or content uploaded as an Entry and posted on the Competition Website must not:
      1. be unlawful or promote any unlawful activity;
      2. be considered inappropriate, defamatory, abusive, discriminatory, offensive, obscene, threatening, misleading or hateful (as determined by Intelak in their absolute discretion);
      3. include any content or symbols of a religious or political nature (as determined by Intelak, in their absolute discretion);
      4. be intended to harass another person or group of people;
      5. include personal information of another person or persons, unless the Entrant has such person(s) consent;
      6. contain viruses or corrupted files;
      7. breach any of the Official Rules;
      8. contain advertising or promotional materials, except with respect to the Competition.
    9. You agree that your Entry shall not be offensive, obscene, derogatory or defamatory in nature, and will be sensitive and respectful to the local culture of the United Arab Emirates, and will adhere to these Official Rules.
    10. By submitting an Entry, you acknowledge that you have complied with, and agree that you will continue to comply with, these Official Rules, and that you have not perpetuated any fraud or deception in entering the Competition, and will not perpetuate any fraud or deception in claiming any Prize that may be awarded to you. You acknowledge and agree that you will be disqualified from receiving any Prize, or will return immediately upon demand by Principal Partners , any Prize or the value of said Prize, if any statement made by you in the Entry or any information you upload onto the Competition Website or your Account is false. You further acknowledge and agree that any fraudulent or deceptive activity may be referred to and prosecuted by the applicable criminal enforcement authorities, and that you authorize the Principal Partners  to provide all details and any submissions that you have provided with respect to your Entry to such law enforcement authorities to assist in their investigations.
    11. By submitting an Entry, you further agree that the Principal Partners and their affiliates shall have the right to use in perpetuity your name, likeness, voice, statements, photograph, biographical and prize information, and any materials you have submitted as part of your Entry, without notice to you, and without further compensation or obligation, in any and all media now or hereafter known throughout the world, in any manner and medium whatsoever, across media channels and platforms to advertise and promote the Principal Partners  and their affiliates, their respective products and services, the Competition, and for any other purpose, in the Principal Partners ’absolute sole discretion.
    12. You further agree and consent to be photographed and videographed by Intelak’s camera/photo crew and their representatives over the course of the Competition, and for Intelak to use any content created across various media channels and platforms. Intelak and their affiliates shall be without liability to you (and our personal representatives, assigns, heirs, and next of kin) for any editing, display, or alteration or for any distortion, illusionary or other effect resulting from the publication or other use of my photograph, images, videos and/or likeness.
    13. Intelak reserve the right, in their sole discretion, to void any Entries and disqualify such Entrants whom Principal Partners  believe (in their sole discretion) have attempted to tamper with or impair the administration, security, fairness or proper play of the Competition and/or who are in violation of these Official Rules.
    14. BY REGISTERING FOR THE COMPETITION, YOU ACCEPT THE CONDITIONS STATED IN THESE OFFICIAL RULES, AGREE TO BE BOUND BY THE DECISIONS OF THE PRINCIPAL PARTNERS AND WARRANT THAT YOU ARE ELIGIBLE TO PARTICIPATE IN THE COMPETITION. IF YOU DO NOT ACCEPT ALL OF THESE OFFICIAL RULES, THEN PLEASE DO NOT SUBMIT AN ENTRY IN THE COMPETITION. WE RECOMMEND THAT YOU PRINT A COPY OF THESE OFFICIAL RULES (AND ANY SUBSEQUENT UPDATES) FOR YOUR FUTURE REFERENCE.
  6. Intellectual Property Rights
    1. By submitting an Entry and participating in this Competition, you are not granting Intelak or its Principal Partners  any rights to any patents or pending patent applications related to the technology described in your Entry and Principal Partners  make no claim to ownership of your Entry or any intellectual property that it may contain. Principal Partners  (as defined below in the “Liability, Indemnity and Release” section) will not be held liable or responsible for, and you hereby release the Principal Partners  if any third party makes a claim of ownership of any intellectual property that your Entry may contain. It is your responsibility to ensure that you protect your intellectual property and seek independent advice. Please also refer to the “No Obligation” section below.
    2. By submitting an Entry and participating in this Competition, you do grant Principal Partners  certain limited rights, as set forth in these Official Rules. By submitting an Entry, you consent to the use and sub-licensing, by Principal Partners , their affiliates, subsidiaries, parents, and licensees, of your name, likeness, image, biographical information, prize information (if a Prize winner), your company or institution name (if your Entry is from a company or institution) and any other personal data submitted with your Entry and the contents in your Entry (including any created works), in connection with the Competition, in any media or format now known or hereafter invented, in any and all locations worldwide, without any payment to or further approval from you. You agree that the license you grant is perpetual, royalty-free, transferable, irrevocable and worldwide.
    3. You agree that nothing in the Official Rules grants you a right or license to use any of the Emirates Group, Department of Tourism and Commerce Marketing (DTCM), Accenture or Microsoft’s trademarks, service marks or any other intellectual property of any description whatsoever (and whether registered or unregistered). You grant to Principal Partners  the right to include your company or entity name (if your Entry is from a company, institution or other entity) as an Entrant on the Competition Website and in materials related to Principal Partners’ promotion of the Competition. “Emirates Group” shall mean and include  Emirates , dnata or dnata World Travel as all of its affiliates or subsidiaries )
  7. Business Relationship
    1. You acknowledge that the intent of the Competition is to encourage people to suggest their ideas and innovations to the Emirates, Department of Tourism and Commerce Marketing (DTCM), Accenture and Microsoft. Except as may otherwise be provided in these Official Rules, and prior to acceptance of the Prize , you are free to discuss your Entry and the ideas or technologies that it contains with other parties and you are free to contract with any third parties as long as it does not create a bar to patentability and you do not sign any agreement or undertake any obligations that that conflict with these Official Rules or that conflict with any agreement that you have entered into with the Emirates, Department of Tourism and Commerce Marketing, Accenture and Microsoft regarding your Entry. The Principal Partners and Prize winners may negotiate in good faith a further business relationship or collaboration with each other that is mutually acceptable, but neither Principal Partners nor Prize winner is under any obligation to enter into such a relationship, and such relationship must be reflected in a written agreement.
    2. You acknowledge and agree that you will not hold the Principal Partners  in any way liable in the event of any dispute arising from any relationship, commercial, business or otherwise, that you may have with any third party. This clause shall apply during the Competition Period, the Bootcamp/ Pre-Selection Round, programmes and after completion of the Competition.
  8. Privacy
    1. By entering this Competition, you acknowledge and agree that Principal Partners  will have access to and use of any personal data provided in connection with your Entry for purposes of administering the Competition as described in the Official Rules. You further agree that Principal Partners may share the personal data collected in connection with your Entry with designated third parties for such purposes as described in the Official Rules.
  9. Confidentiality
    1. Because Principal Partners do not wish to receive or hold any submitted materials “in confidence,” it is agreed that, with respect to your Entry, no confidential relationship or obligation of secrecy is established between Principal Partners  and you, the company or entity you represented when submitting an Entry, or the owner of any part of your Entry. Principal Partners  shall have no liability or responsibility for use by any other individual or entity of any aspect of your Entry.
  10. Warranties
    1. By submitting an Entry, you represent and warrant that all information in your Entry and all the information and materials that you submit via the Competition Website, including the information in your Account, are true and complete to the best of your knowledge, that you have the right and authority to submit the Entry and disclose the information therein on your own behalf or on behalf of the persons and entities that you specify within the Entry, and that your Entry (both the information and materials submitted in the Entry and the underlying technology/method/idea described in the Entry):
      1. is your own original work and representative of your capability, or is the original work of your team submitted with the permission of all team members with full and proper credit given within your Entry;
      2. does not contain confidential information or trade secrets (yours or anyone else’s);
      3. does not violate or infringe upon the patent rights, industrial design rights, copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity;
      4. does not contain malicious code, such as viruses, malware, timebombs, cancelbots, worms, Trojan horses or other potentially harmful programmes or other material or information;
      5. does not and will not violate any applicable law, statute, ordinance, rule, regulation, confidentiality agreement or other agreement;
      6. does not trigger any reporting or royalty or other obligation to any third party; and
      7. has not been previously published so as to create a bar to patentability and has not won any other prize or award.
    2. A breach of any warranty set out in this provision of the Official Rules will result in the corresponding Entry being invalidated. You agree that you will be liable to Principal Partners  and Judging Panel (as defined below in the “Liability, Indemnity and Release” section) and indemnify Principal Partners  and Judging Panel for breach of any warranty. (This means that you will be responsible to Principal Partners  and Judging Panel for any loss or damage suffered as a result of your beach of a warranty).
  11. Judging
    1. Entries will be evaluated by a panel of at least three (3) judges comprised of upper management at Emirates, Department of Tourism and Commerce Marketing, Accenture and Microsoft (collectively the “Judging Panel” or “Judges”). Entries will be evaluated based on compliance with entry criteria guidelines (as set out in the “Entry Criteria Guidelines” section above) as well as upon a combination of the following (collectively the “Judging Criteria”):

      • You have an innovative tech solution in the aviation, travel or tourism space
      • You are looking to implement your product or service with the entity partners
      • You have an innovative tech solution in the aviation, travel or tourism space
      • You are looking to expand to Dubai and implement your product or service here
      • Your product or service is favourable for the business environment in Dubai from a technical and legal

      Business Stage:

      • 0 – 18 months of operation
      • Early stage companies with at least a working prototype to demo
      • 12 plus months of operation
      • Your business is a growth stage start-up (working prototype, MVP, pilot) ready to scale and beyond

      Funding:

      • Funding: 0 – 200K USD
      • Your start-up is sufficiently funded for the duration of the programme (minimum of 6 months)
      • Funding: Above 200K USD
      • Your start-up has sufficiently raised investment to grow your venture

      Revenue (USD)

      • 0 – 200K USD
      • Funding: Your start-up has sufficiently raised investment to grow your venture

      Strategic Fit:

      • Your start-up is aligned to one of the market verticals and/or one of our technology focus areas
      • Your start-up is working on a solution that meets one of the partners challenges / themes

      Team Members:

      • Your business has at least 1 team members working full time on the start-up
      • A functional team with the capacity to scale its operations

      Commitment:

      • You can commit a senior team member (Co-Founder/CTO) in Dubai once a week per month for the duration of the programme
      • You can commit a senior team member (Co-Founder/CTO) to be in Dubai for the duration of the programme
    2. Judging will occur during the period between “Submissions Close” and “Pre-Incubation / Accelerator Finalist Announced” as stated on the Competition Website. The Judging Panel will choose Entries that best meet the Judging Criteria and such selected teams will be enrolled in the Bootcamp/ Pre-Selection Round. The teams selected for the Bootcamp/ Pre-Selection Round will be announced on the date as stated on the Competition Website.
    3. ALL DECISIONS OF Principal Partners AND THE JUDGING PANEL WILL BE FINAL AND BINDING ON ALL MATTERS RELATING TO THIS COMPETITION.
  12. Liability, Indemnity and Release
    1. By participating in the Competition, you agree to release, indemnify and hold harmless Emirates, Department of Tourism and Commerce Marketing, Accenture and Microsoft and their respective parents, affiliates, subsidiaries, advertising and promotions agencies, as applicable, and each of their respective agents, representatives, officers, directors, shareholders, and employees (collectively, “Principal Partners ”) and the Judging Panel from and against any injuries, losses, damages, claims, actions and any liability of any kind (including attorneys’ fees) of whatsoever nature in relation to you or any other person or entity, including, without limitation, personal injury or death to you or any other person or damage to personal or real property, arising from or related to this Competition, or due in whole or in part, directly or indirectly, to (i) the acceptance, possession or use of the Prize; and (ii) any claims alleging that your Entry infringes, misappropriates or violates any third party’s intellectual property rights; and (iii) any physical activity, travel or travel-related activity in relation to the Competition or participation in the Competition.
    2. You further agree to absolutely and forever release and discharge the Principal Partners  and the Judging Panel from all claims, damages, liabilities, obligations, expenses and causes of action which you may bring and/or could have brought against the Principal Partners  and/or Judging Panel, which relate to the Competition.
    3. By entering the Competition, you agree that you will be expressly liable to the Principal Partners  and Judging Panel for the all obligations, consents, agreements, releases, assignments, licenses, warranties, representations and other such obligations in these Official Rules (“Obligations”), and will hold harmless and indemnify the Principal Partners  and the Judging Panel for any losses or claims related to any breach of such Obligations.
    4. Principal Partners  and the Judging Panel are not responsible for any miscommunications such as technical failures related to computer, telephone, cable, and unavailable network or server connections, related technical failures, or other failures related to hardware, software or virus, or incomplete, late or misdirected Entries. Any compromise to the fair and proper conduct of this Competition may result in the disqualification of an Entry, termination of the Competition, or other remedial action, at the sole discretion of the Principal Partners.
    5. To the extent permitted by applicable law, the Principal Partners  and Judging Panel shall not be liable under or in connection with these Official Rules, the Competition or the Prize for any indirect, special or consequential cost, expense, loss or damage suffered by you, even if such cost, expense, loss or damage was reasonably foreseeable or might reasonably have been contemplated by the you and/or the Principal Partners  and Judging Panel and whether arising from breach of contract, tort, negligence, breach of statutory duty or otherwise.
  13. No Obligation
    1. You acknowledge that multiple participants may submit Entries that contain designs, concepts or technologies similar to your Entry and that Principal Partners, and/or their respective subsidiaries and business partners may already be investigating or developing technical solutions or business activities that are related or similar to those that you disclose in your Entry. You acknowledge and agree that Principal Partners actions with respect to another Entry or one of their own solutions or business activities, even if similar to your Entry, shall not create in Prize Spons Principal Partners ors any liability to you or others. Further, Principal Partners are not and shall not be restricted in any way from pursuing, developing, or commercialising, in any way that they see fit, independent of you and at its sole discretion, any technology that is created independent of your Entry. For the avoidance of doubt, you acknowledge that Principal Partners are not obligated to take any action whatsoever with regard to your Entry.
  14. Severability
    1. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision was not contained herein.
  15. Waiver
    1. By entering the Competition, you waive all rights to seek injunctive or equitable relief, or to claim punitive, incidental or consequential damages, or attorneys’ fees. Except where prohibited by law, by entering you agree that any and all disputes, claims, and causes of action arising out of or connected with these Official Rules or this Competition shall be resolved individually, without resort to any form of class action.
  16. Applicable Law
    1. You agree that these Official Rules and the relationship between you and the Principal Partners   shall be governed by the laws of Dubai and applicable federal laws of the United Arab Emirates, and all parties irrevocably submit to the exclusive jurisdiction of the Dubai Courts.
  17. Prizes
    1. Incubator – The culmination of the Bootcamp/ Pre-Selection Round will be a pitch day, during which four (4) teams will be chosen as winners. The winners of the Boot Camp who will be enrolled in the Intelak Incubator will be announced on the date stated on the Competition Website. Winners will be required to participate fully in communications activities brought forward by the Principal Partners. All potential winners will be notified by the e-mail address provided in the Account used to submit the Entry. Return of any notification as “undeliverable” will result in disqualification and the Entry will be invalidated. Potential Prize winners are subject to verification of eligibility and compliance with these Official Rules. Principal Partners reserve the right to examine Entries for compliance with the Official Rules. Prize winners may, subject to applicable laws and regulations, be screened to ensure they are not included on any Government Watch List. Where i) a potential winner does not acknowledge the e-mail sent by Principal Partners within one week of the time of sending with acceptance of the Prize, and any information requested by Principal Partners to verify their eligibility; or ii) the potential winner does not provide the requested information or fails to meet the eligibility requirements (decided at Principal Partners’ sole discretion), the Entrant will be deemed by Principal Partners as having relinquished the right to the Prize and Principal Partners reserve the right to offer the Prize to another eligible Entrant or the Prize may not be awarded.
    2. After verification of eligibility and receipt of the required documents, the Prize will be distributed in the form of a check addressed to the Entrant or official representative for a winning team specified in the winning Entry, and in accordance with the payment milestones set by the Prize Principal Partners. That official representative will have sole responsibility for further distribution of the Prize among participants in a group Entry or within a company or institution that has submitted an Entry through that representative. No substitution or transfer of Prizes is permitted. The Prize will be awarded per winning Entry, not per Entrant or number of persons involved in the Entry. All Prizes are a one-time offer and there is no offer of licensure, royalty, or other financial compensation implied beyond the Prize, unless otherwise mutually agreed in writing between you and Principal Partners. You are responsible for all taxes and reporting related to any Prize that you receive as part of the Competition.
    3. If you are selected as a winner, you acknowledge that, as a condition of receiving the Prize, you may be required to complete/sign Principal Partners ’ documentation (including consent forms and any forms of their affiliates) to provide your written consent to being filmed and photographed by Principal Partners ’ (or their affiliates’) camera/photo crew over the course of the Intelak Incubator and to Principal Partners   and their affiliates using any content created across their various media channels and platforms.
    4. This is a contest of skill. Whether or not your Entry is determined as a winner depends on how your Entry compares to the other Entries submitted in the Competition when evaluated based on the Judging Criteria.
    5. You acknowledge and agree that all aspects and content of your Entry, including any copyrights, patents or other intellectual property rights therein ( collectively the “Entry IP”) shall be owned by you and you shall grant us the limited license to use the Entry IP for the purposes of this Competition. Any of the Principal Partners   may, at their own discretion and based on the merits of the proposed technology, explore funding an Entry for further development and/or commercialisation or explore further licensing of the Entry IP, even if the Entry is not a Prize winner. In such a case, any of the Principal Partners  may contact the Entrant and negotiate an appropriate separate agreement .
    6. Conditional
      1. We accept rolling applications. If you are not admitted in the current cohort of Entrants and you meet our criteria, we will consider your application for the next cohort, the dates of which will be announced on the Competition Website.
